Saudi Arabia is preparing for a secondary share sale of the state-owned oil giant Aramco to raise approximately $20 billion. Reports suggest that Citigroup Inc., Goldman Sachs Group Inc., and HSBC Holdings Plc are among the banks being considered to handle the offering, which could be one of the largest in recent years.

Sources familiar with the matter have indicated that Saudi Arabia is in discussions with various banks to assemble a team of advisors for the sale, which may take place in the coming weeks. However, they have emphasized that the lineup of advisors and the timing of the sale are subject to change, and there is a possibility of delay.

While Aramco, Citigroup, Goldman, and HSBC have declined to comment on the specifics of the deal, it is notable that some of these Wall Street banks were involved in Aramco's initial public offering (IPO) in 2019. Despite receiving relatively modest fees for their services during the IPO, these banks are reportedly eager to participate in the secondary offering, potentially signaling an opportunity for further business opportunities in Saudi Arabia.

One of the key challenges facing this new share sale is the attraction of new investors. During the IPO, many international firms expressed reluctance due to the Saudi government's valuation expectations and concerns about Aramco's relatively low yield compared to industry peers. Consequently, the deal primarily relied on local retail investors and wealthy family offices.

In an effort to address investor concerns and improve liquidity, Aramco has introduced a new mechanism to boost dividends. However, despite its $2 trillion market value, Aramco still lags behind its industry peers in terms of dividends. Its price-to-earnings ratio also surpasses that of major oil companies such as Shell Plc, BP Plc, and Exxon Mobil Corp.

Nevertheless, Aramco has attracted investments from some of the world's leading asset managers, partly due to its weighting in the Saudi stock index. Yet, advisors working on the upcoming offer may need to reconcile with the likelihood of receiving relatively low fees, which is customary in the region.

The decision by Aramco to abandon plans to increase its oil production capacity has added another layer of complexity to the market dynamics. This unexpected move, announced last month, raises questions about the company's outlook on oil demand but also frees up significant capital for other investments.

Crown Prince Mohammed bin Salman, commonly referred to as MBS, had previously indicated the government's intention to sell more shares in Aramco, with the proceeds earmarked for the kingdom's sovereign wealth fund. While plans for further share sales had been gaining momentum, the recent developments underscore the evolving landscape of Aramco's strategic decisions and its broader implications for the Saudi economy.
